These Terms & Conditions (“Terms”) govern your access to and use of our website and your participation in, or purchase of, any training programme, course, workshop, seminar, consultancy service or other service offered by Axon Consultancy.

By accessing this website, submitting an enquiry, registering for a programme, making a booking, issuing a purchase order, making payment, or otherwise engaging our services, you acknowledge that you have read, understood and agreed to be bound by these Terms.

If you do not agree with these Terms, please do not use this website or register for our services.

—

ABOUT OUR SERVICES

Axon Consultancy provides professional training, learning and development programmes, workshops, seminars, trainer services, consultancy and related services for individuals, businesses and organisations.

Training programmes may be delivered through physical, online, hybrid or other formats, depending on the programme and arrangements agreed with the client.

Trainer Services may include HRD programme application and required paperwork together with programme requirements required for the said customized training programme.

The information published on this website is intended primarily for general information and promotional purposes.

—

TRAINING INFORMATION

We endeavour to ensure that all information published on our website is accurate and reasonably up to date. However, training information may be subject to change.

Programme descriptions, course outlines, learning objectives, schedules, trainers, photographs, venues, delivery methods, duration, modules, activities and other programme details displayed on the website are not necessarily final or binding unless expressly confirmed in writing by Axon Consultancy.

Axon Consultancy reserves the right to amend, revise, substitute or make reasonable adjustments to any aspect of a training programme where circumstances require.

This may include, without limitation:

  • training content or modules
  • course structure or activities
  • trainer or facilitator
  • training date or schedule
  • venue
  • mode of delivery
  • duration
  • learning materials
  • other operational arrangements.

Actual training delivered may therefore differ from photographs, descriptions, examples, outlines or other materials displayed on this website.

Where reasonably practicable, Axon Consultancy will endeavour to ensure that any changes do not materially affect the overall objectives and intended learning outcomes of the programme. Participants and clients are encouraged to confirm the final programme details with Axon Consultancy before registration or attendance.

—

TRAINER SUBSTITUTION

While we endeavour to provide the trainer or facilitator identified in the programme information, Axon Consultancy reserves the right to appoint a replacement trainer or facilitator where necessary.

Circumstances may include illness, emergency, scheduling conflicts, operational requirements, unavailability or other circumstances beyond our reasonable control.

Any replacement trainer will be selected based on relevant qualifications, experience and suitability for the programme. Trainer substitution does not automatically entitle a participant or client to a refund or compensation.

—

TRAINING VENUE AND DELIVERY FORMAT

Axon Consultancy reserves the right to change the training venue, delivery format or other logistical arrangements where reasonably necessary. A programme originally scheduled for physical delivery may, where appropriate, be moved to an online or hybrid format, or vice versa. Clients and participants will be notified of material changes as soon as reasonably practicable.

—

REGISTRATION AND CONFIRMATION

Registration or submission of an enquiry or trainer’s registration does not necessarily constitute confirmation of a place or service.

A booking shall only be considered confirmed when Axon Consultancy has provided written confirmation, subject to the applicable payment and registration requirements. For corporate or group training, a booking may also be subject to receipt of a valid purchase order, signed quotation, service agreement or other written confirmation acceptable to Axon Consultancy.

Axon Consultancy reserves the right to decline or reject a registration or booking at its discretion, subject to applicable law.

—

FEES AND PAYMENT

All fees shall be as stated in the applicable quotation, invoice, registration form or written confirmation issued by Axon Consultancy.

Unless otherwise stated:

  • fees must be paid within the payment period specified on the invoice;
  • fees quoted are subject to applicable taxes, duties or charges where applicable;
  • payment must be made using the payment method specified by Axon Consultancy; and
  • a participant’s place and trainer’s service may not be guaranteed until the required payment or other booking requirement has been satisfied.

Axon Consultancy reserves the right to suspend or refuse participation where payment remains outstanding. Any bank charges, transaction charges or other costs associated with payment shall be borne by the trainer, client or participant unless otherwise agreed.

—

PROMOTIONAL PRICES, DISCOUNTS AND OFFERS

Promotional rates, early-bird rates, group discounts and other special offers are subject to their respective terms. Unless expressly stated otherwise:

  • promotions cannot be combined;
  • discounts cannot be exchanged for cash;
  • promotional pricing is available only during the stated promotional period; and

Axon Consultancy reserves the right to withdraw or amend a promotion where reasonably necessary.

—

HRD CORP / TRAINING GRANT APPLICATIONS

Where a programme is promoted as being eligible for HRD Corp funding or claimable under an applicable training scheme, such eligibility does not constitute a guarantee that a particular claim or grant application will be approved.

Approval is subject to the applicable requirements, rules, procedures, documentation and decisions of HRD Corp or the relevant authority. Axon Consultancy shall not be responsible for:

  • rejection of an application by HRD Corp or any other authority;
  • failure by a client to satisfy funding or eligibility requirements;
  • incomplete or inaccurate information submitted by the client;
  • late submission of required documents by the client;
  • changes to applicable funding rules or procedures; or
  • any amount that is not approved, reimbursed or paid by the relevant authority.

Unless otherwise expressly agreed in writing, the client remains responsible for payment of any fees not covered or approved under the relevant funding arrangement.

—

CANCELLATION BY CLIENT

Cancellation requests must be submitted to Axon Consultancy in writing. Unless otherwise stated in the quotation, registration form, invoice or programme-specific terms, cancellation may be subject to the following:

  • More than 22 calendar days before the scheduled programme: eligible for transfer to another available programme date or refund, subject to administrative charges where applicable.
  • 22–14 calendar days before the scheduled programme: transfer may be permitted subject to availability and applicable administrative charges.
  • Less than 14 calendar days before the scheduled programme: fees may be non-refundable and non-transferable.
  • Failure to attend (“no-show”): no refund shall generally be provided.

For customised corporate training, consultancy or programmes involving advance preparation, venue arrangements, trainer commitments, materials or other third-party costs, separate cancellation terms may apply. The specific cancellation terms stated in the applicable quotation or service agreement shall prevail over these general Terms where there is any inconsistency.

—

PARTICIPANT SUBSTITUTION

Unless otherwise stated, a client may request to substitute a registered participant with another suitable participant from the same organisation. Requests for substitution should be made in writing before the commencement of the programme.

Axon Consultancy reserves the right to reject a substitution where the replacement participant does not meet the programme’s prerequisites or where the substitution would create administrative, regulatory or operational difficulties.

—

POSTPONEMENT OR CANCELLATION BY AXON CONSULTANCY

Axon Consultancy reserves the right to postpone, reschedule, modify or cancel a programme where reasonably necessary.

Reasons may include, without limitation:

  • insufficient enrolment;
  • trainer unavailability;
  • venue or technical issues;
  • government or regulatory requirements;
  • health or safety concerns;
  • force majeure events; or
  • other circumstances beyond our reasonable control.

Where a programme is cancelled by Axon Consultancy, we will endeavour to provide an alternative date, transfer arrangement or other reasonable solution.

Where applicable, any refund shall be limited to fees actually paid to Axon Consultancy for the affected programme.

Axon Consultancy shall not be liable for consequential, indirect or incidental losses arising from the postponement or cancellation of a programme, including travel expenses, accommodation, loss of business, loss of income or other associated costs, to the extent permitted by law.

—

FORCE MAJEURE

Axon Consultancy shall not be liable for any failure, delay, postponement or inability to perform its obligations where such failure or delay results from circumstances beyond our reasonable control.

Such circumstances may include, without limitation:

  • natural disasters;
  • fire, flood or severe weather;
  • epidemic or pandemic;
  • war, terrorism or civil unrest;
  • government restrictions;
  • industrial disputes;
  • power or telecommunications failures;
  • transportation disruptions;
  • venue closure;
  • technical or internet failures;
  • illness or other serious emergencies; or
  • failure of third-party suppliers.

Where reasonably practicable, Axon Consultancy will endeavour to provide an alternative arrangement.

—

TRAINING MATERIALS AND INTELLECTUAL PROPERTY

Unless otherwise stated, all training materials, course content, presentations, manuals, workbooks, exercises, videos, graphics, methodologies, frameworks, templates and other materials supplied or made available by Axon Consultancy or its trainers remain the intellectual property of their respective owners.

Participants and clients may use materials provided to them solely for their own personal or internal business learning purposes. Without prior written permission, no person may:

  • reproduce or copy training materials;
  • distribute or publish training materials;
  • sell, license or commercially exploit training materials;
  • upload materials to public websites or platforms;
  • record or reproduce training sessions for commercial purposes; or
  • modify and redistribute the materials.

Nothing in these Terms transfers ownership of intellectual property to the client or participant.

—

RECORDING, PHOTOGRAPHY AND MEDIA

Unless otherwise prohibited or agreed in writing, Axon Consultancy may photograph or record training sessions, events or activities for documentation, quality assurance, marketing, promotional or corporate communication purposes.

Where required by applicable law, appropriate consent will be obtained. Any participant who does not wish to appear in promotional photography or recordings should notify Axon Consultancy in writing before the relevant activity.

—

PARTICIPANT CONDUCT

Participants are expected to always conduct themselves professionally and respectfully. Axon Consultancy reserves the right to remove or exclude a participant from a programme where the participant:

  • behaves abusively, threateningly or disruptively;
  • harasses another participant, trainer or staff member;
  • engages in discriminatory or inappropriate conduct;
  • damages property;
  • interferes with the learning environment;
  • breaches applicable venue or online-platform rules; or
  • otherwise behaves in a manner that Axon Consultancy reasonably considers inappropriate.

No refund shall automatically be payable where participation is terminated due to misconduct.

—

ONLINE TRAINING

For online programmes, participants are responsible for ensuring that they have:

  • a suitable device;
  • a stable internet connection;
  • appropriate software or applications;
  • functioning audio and video equipment where required; and
  • a suitable environment for participation.

Axon Consultancy shall not be responsible for interruptions caused by the participant’s internet connection, device, software, electricity supply or other circumstances outside our reasonable control.

—

CERTIFICATES OF COMPLETION

Where a certificate of attendance or completion is offered, issuance may be subject to the participant satisfying the applicable attendance, participation or assessment requirements.

Axon Consultancy reserves the right not to issue a certificate where the relevant requirements have not been met.

A certificate does not necessarily represent a professional licence, statutory qualification, accreditation or certification unless expressly stated.

—

NO GUARANTEE OF BUSINESS OR PROFESSIONAL RESULTS

Training and consultancy programmes are intended to provide knowledge, skills, information and practical guidance.

Axon Consultancy does not guarantee any particular business, financial, career, professional, sales, operational or other outcome from participation in any programme.
